SECTION A: COMMERCIAL DEVELOPER SOURCE CODE LICENSES
1. Non-Exclusive White-Label Commercial License: Upon payment of the specified commercial fee, DSR MATRIX grants the licensee a perpetual, non-exclusive, non-transferable worldwide license to utilize software source code packages (Nexus Hub, Enterprise ERP, CareForce CRM, Sync HR, DineFlow POS) for internal business operations, SaaS development, and client deployment.
2. Vendor Intellectual Property Ownership & Global Rights: DSR MATRIX retains 100% full intellectual property ownership, copyright, patents, and unrestricted global rights to market, sell, license, update, or distribute software codebases and data assets to any third-party individual or business worldwide without restriction.
3. Strict Trademark & Branding Prohibition: Licensees are strictly prohibited from using trade names "DSR MATRIX", "DSR", "RetailFlow", "Nexus", "CareForce", "Sync", "DineFlow", or corporate logos in resold or commercial applications. All deployed software must be white-labeled under licensee's own registered brand identity.
4. Prohibition of Raw Code & Raw Database Resale: Licensees are strictly forbidden from re-packaging, redistributing, reselling, sub-licensing, or giving away uncompiled raw ZIP source code files or raw data files on public repositories (e.g., GitHub), template marketplaces, or data reselling stores as a raw competitor to DSR MATRIX.
SECTION B: B2B BUSINESS INTELLIGENCE & DATASETS TERMS
5. Data Intelligence Snapshot & Market Dynamics Disclaimer: Business intelligence and database assets represent a collated market snapshot collected up to dataset archiving (2026). Licensee explicitly acknowledges that business contact data naturally undergoes market volatility (including business relocations, domain migrations, personnel changes, and email status changes). Data is provided strictly "AS-IS" for market research, data analytics, and lead generation without real-time active status guarantees.
6. Regulatory Compliance & Outreach Indemnification: Licensee agrees to assume sole legal responsibility for complying with all applicable global, national, and local privacy and communication regulations (including CAN-SPAM Act, GDPR, TCPA, and Indian IT Act 2000) when conducting outreach. Licensee agrees to indemnify and hold harmless DSR MATRIX, its directors, and engineers from any third-party claims or regulatory disputes arising from licensee's usage of data.
SECTION C: TRANSACTION AUDIT PRESERVATION & DIGITAL DELIVERY
7. Mandatory Audit Logging & Purchase Record Preservation: To ensure legal transparency, fraud prevention, and proof of license grant, every purchase transaction creates a permanent logged audit record (containing buyer email, payment ID, IP address, timestamp, acquired digital product IDs, and license hash) stored in the DSR MATRIX Owner Audit Database as binding legal proof of digital delivery and agreement.
8. Electronic Digital Delivery & Non-Refundable Policy: Licensee acknowledges that access to download uncompiled ZIP packages is provided electronically immediately upon verified payment completion. Due to the digital nature of instant ZIP package delivery, all sales are final and non-refundable once payment is completed and download link is generated.
9. Governing Law & Dispute Resolution: This License Agreement is governed by the laws of India. Any legal dispute or claim arising from breach of trademark, unlawful raw code redistribution, or license terms shall be subject to exclusive legal jurisdiction.
