Effective Date: September 14, 2026 | Version 2026.2 (Enterprise Commercial Standard)
1. Non-Exclusive White-Label Commercial License: Upon payment of the commercial license fee (₹5,999 INR / $69 USD), DSR MATRIX grants the licensee a perpetual, non-exclusive, non-transferable worldwide license to modify, adapt, compile, and deploy the software source code to build custom applications, SaaS products, client projects, or internal software systems.
2. Vendor Intellectual Property Ownership & Global Sales Rights: DSR MATRIX retains 100% full intellectual property ownership, copyright, patents, and unrestricted global rights to market, sell, license, update, or distribute the software codebase to any third-party individual, business, or enterprise worldwide without restriction or accounting to licensee.
3. Strict Trademark & Branding Prohibition: Licensees are strictly prohibited from using the trade names "DSR MATRIX", "DSR", "Nexus", "CareForce", "Sync", "DineFlow", or official corporate logos in resold, commercial, client, or deployed software applications. All applications deployed by licensee must be fully white-labeled under licensee's own registered company name and brand identity.
4. Absolute Prohibition of Raw Source Code Resale & Marketplace Distribution: Licensees are strictly forbidden from re-packaging, redistributing, reselling, sub-licensing, or giving away the uncompiled raw ZIP source code files, project templates, or code assets on public repositories (e.g. GitHub), template marketplaces, or software resale stores as a raw source code competitor to DSR MATRIX.
5. Electronic Digital Delivery & Non-Refundable Policy: Licensee acknowledges that upon verified payment completion, access to download the uncompiled raw developer ZIP file is provided electronically immediately. Due to the digital nature of open source code delivery, all sales are final and non-refundable once the ZIP download link is generated and initiated.
6. Mandatory Database Audit Logging & Legal Proof Consent: By ticking the agreement consent checkbox and initiating payment/download, licensee explicitly agrees that transaction telemetry (including buyer email, Razorpay payment ID, acquired asset, exact timestamp, IP address, user agent, and digital agreement signature) will be permanently logged and saved in the DSR MATRIX Owner Audit Database as binding legal proof of agreement and digital product receipt.
7. Disclaimer of Warranty & Limitation of Liability: All software source code packages are provided "AS-IS" with included documentation. DSR MATRIX shall not be held liable for indirect, incidental, special, or consequential damages resulting from deployment, hosting failures, database loss, or third-party liabilities incurred by licensee applications.
8. Governing Law & Dispute Resolution: This License Agreement is governed by the laws of India. Any legal dispute or claim arising from breach of trademark, unlawful raw code redistribution, or license terms shall be subject to exclusive legal jurisdiction.
